Successful takeover

VanEps Kunneman VanDoorne assisted Windward Insurance Solutions B.V. (“WIS”) with the successful takeover of the Netherlands Antilles insurance company Pearl General Insurance N.V. (“PGI”) and the Netherlands Antilles insurance broker Verzekeringswinkel Pearl N.V. (“VWP”).

The due diligence for the takeover by WIS started in the beginning of 2009. VanEps Kunneman VanDoorne assisted WIS in the preparation of all legal documentation for the takeover and after thorough discussions and negotiations, parties concluded the transaction on 18 December 2009. The closing on this transaction enabled WIS to enter into a transaction with the Aruban based insurance company Seguros Brouwer, which company purchased the shares in WIS, PGI and VWP from WIS, making it one of the largest insurance companies and brokers in the Netherlands Antilles and Aruba.
